1. Agreement and scope
These terms govern access to Redeem's website, customer reward flow, venue dashboard, door tools, pilot services, and related communications. By using the service, you agree to these terms and any campaign-specific rules displayed before use.
Venue commercial terms may also be set out in a pilot or subscription agreement. If that signed agreement conflicts with these website terms, the signed agreement controls for that venue.
The final version must identify the contracting legal entity, registered address, notice details, and an effective acceptance process approved by counsel.
2. What Redeem provides
Redeem helps participating venues offer next-visit rewards after a customer purchase. The service may include QR journeys, staff confirmation, reward delivery, redemption tools, customer records, reports, and founder support.
Redeem does not process the venue's original customer payment and does not guarantee that a customer will scan, return, spend, or generate additional profit.
3. Customer reward rules
- A reward is subject to the venue, expiry, minimum spend, availability, and other terms shown with it.
- Staff confirmation may be required before a reward becomes valid.
- Rewards have no cash value unless the displayed terms expressly say otherwise.
- Duplicate, automated, fraudulent, transferred, altered, or improperly obtained rewards may be refused or cancelled.
- The participating venue funds and honours its reward. Redeem will help investigate a genuine dispute but is not the seller of the venue's goods or services.
4. Venue responsibilities
A venue must give accurate campaign information, honour valid rewards, train authorised staff, protect staff and account access, use customer information lawfully, and avoid misleading customers. The venue remains responsible for its products, service, premises, pricing, taxes, licences, safety, and consumer obligations.
Staff must validate only eligible paid purchases and must not share PINs or create rewards for themselves, friends, or customers who did not qualify.
5. Venue plans, founding partners, and rewards
The pricing page describes Redeem's current public offer. A venue's signed proposal or subscription agreement states the exact fee, term, branch coverage, included services, payment timing, and renewal terms that apply to that venue.
The venue separately funds and honours its chosen rewards. A venue on an earlier fee-free pilot keeps only the commercial terms agreed for that pilot and is not automatically converted to a paid plan. Any new paid term requires the venue's express agreement.
6. Accounts and acceptable use
You must provide accurate information, use only accounts and venues you are authorised to manage, and keep access details secure. You must not probe, disrupt, scrape, reverse engineer, bypass controls, impersonate another person, introduce malicious code, or use Redeem for unlawful, deceptive, abusive, or privacy-invasive activity.
7. Availability and third-party services
Redeem is an early-stage service. Features may change and occasional interruptions may occur. We will use reasonable care but do not promise uninterrupted or error-free operation.
The service relies on third-party infrastructure such as Google Firebase, Google Cloud, email providers, and links to WhatsApp. Those services may have their own terms and availability.
8. Intellectual property
Redeem and its licensors own the service, software, visual system, and related materials. Venues retain ownership of their names, logos, campaign content, and customer data subject to applicable law. A venue gives Redeem the limited permission needed to operate and support its campaign.
9. Suspension, termination, and liability
We may restrict or suspend access to protect customers, venues, the service, or the law, including for fraud, abuse, non-payment, security risk, or serious breach. A venue may stop after its pilot or under its agreed subscription terms.
To the maximum extent permitted by law, Redeem is not responsible for indirect or consequential losses, lost profits, customer conduct, venue products or services, or a venue's refusal or inability to honour a reward. Nothing in these terms excludes liability that cannot legally be excluded.
10. Governing law and contact
These terms are governed by the laws of the Federal Republic of Nigeria. The parties should first try to resolve disputes in good faith before using formal remedies available under applicable law.
